• Advised China’s video streaming and digital content sharing giant on the advertising laws and the best practices for the creation and curation of content within Malaysia. Advised on gaming laws and the licensing requirements on digital currencies in Malaysia.
• Advised China’s largest service-focused e-commerce platform on the regulatory and licensing requirements in Malaysia’s hotel and tourism industry.
• Advising an international expert manufacturer of extracts and flavouring products on market entry advice into the Malaysian market including food and labelling laws.
• Advising a Singapore based medical tech company on the licensing requirements of their business model. Setting up direct engagement with the Ministry of Health Malaysia. Advised on the classification and importation of medical devices, electrical appliances and cosmetic products into Malaysia.
• Planning the corporate structure for the asset acquisition, private fundraising and operations of an International School, supported by a foreign university. Advising on the regulatory and licensing requirements in the Education sector.

M&A TRANSACTIONS

• Represented a foreign owned mining company in its 100% equity acquisition of 2 local mining companies with state government mining leases and mining equipment. 
• Represented a Korean conglomerate as major shareholder in a Malaysian mobility-tech investee company, regulated under the Ministry of Tourism, on several Malaysian law matters.
• Represented a HK headquartered corporate services group in its 100% equity acquisition of 3 different unrelated company secretarial & accounting practices in Malaysia, collectively valued over RM30 million. 
• Assisted a HK headquartered corporate services group in its US$65 million loan facility & security docs for its Malaysian entities.
• Represented sellers of a plastic medical supplies manufacturing company in Malaysia with its 100% equity disposal to a foreign purchaser.
• Represented a Maldives based entity in its purchase of redeemable convertible preference shares from a Labuan insurance broking company licensed with the LFSA.
• Represented an Australian software company in its acquisition of a local target in exchange for equity shares (merger via a share swap) in the acquirer’s Malaysian subsidiary.

• Advised Korean conglomerate as majority investor in Mobility Tech startup’s Series B round raising $50m led by Korean private equity funds.  
• Advised a leading service matching platform in its series B equity fundraising round & bridging round using Convertible Notes. Advised on collaboration with other Singapore based unicorn in exchange for Warrants.
• Advised a foreign VC fund in its series B equity investment into a leading genetics and diagnostic health testing company listed on NASDAQ.
• Represented a local aerospace engineering company in its private equity fundraising rounds, issuance of preference shares & warrants and its employee share options plan. 

PROPERTY

• Conduct property and seller due diligence for a German owned company to acquire land with a light industrial factory in Selangor total value of RM20mil, advised on foreigner restrictions and requirements.
• Represented a Singapore based company to acquire a Kulai Johor factory valued at RM45 million, and equipment & fixtures valued at RM18 million.
• Conduct due diligence & represented a Singapore company to acquire land with a factory, assets and equipment in Kulai, Johor total value of RM52 million.
• Advised a Russian-owned mining company on the restrictions on foreign property ownership, conducted due diligence in its Tenancy with an Option to Purchase a Smelting Factory, together with equipment in Kulim, Kedah.
• Represented various foreign nationalities (HK, Japan, Singapore) in their sub-sale transactions of residential properties in KL and Selangor.
